Capitalia S.p.A. is the Holding Company of the Capitalia Banking Group, born on July 1, 2002, from the synthesis of the former Bancaroma and Bipop-Carire banking groups.
Currently, the Group is primarily composed of:

• three commercial banks (Banca di Roma, Banco di Sicilia and Bipop Carire, all wholly owned), which are entirely focused on customers and traditional banking activities through their local networks under their own brands;
• the specialized banks and product companies, which engage in more sophisticated credit and investment activities, including:
  • the new MCC (wholly owned);
  • direct equity investments in banks and financial companies under MCC, such as MCC Sofipa SGR S.p.A.;
  • direct holdings in the banks and financial companies previously controlled by Fineco S.p.A., including: FinecoBank S.p.A. (98.78%), Capitalia Asset Management SGR S.p.A. (100% ), Capitalia Investimenti Alternativi SGR S.p.A. (95% owned directly, 5% held by Finecobank), CNP Capitalia Vita S.p.A. (38.8%), Fineco Assicurazioni S.p.A. (100%), FinecoLeasing S.p.A. (99.99%), which is operationally integrated with MCC; Banca di Roma International SA (99.99%); and Fineco Finance Ltd. (100%);
• shared service companies (Capitalia Informatica, Capitalia Service JV, Capitalia Solutions) which provide specialized services to the entire Group.

The structure of the holding company envisages that the parent company will oversee from a strategic and control point of view the following lines of business, whose operations are principally carried out in the operating subsidiaries:

• commercial banks
• specialized banks and product companies.

In addition, in Capitalia three other business areas directly operate: the Finance & Markets, Large Corporate, and Credit.
